Terms of Service

Last updated: September 3, 2026

These Terms of Service form an agreement between KOKO LABS LC and the organization or person accepting them for access to FixCost. By creating an account, purchasing a subscription, or using FixCost, you agree to these Terms.

1. Eligibility and authority

You must be legally able to enter a binding agreement and use FixCost for lawful business purposes. If you use FixCost for an organization, you represent that you have authority to accept these Terms for that organization. The organization is responsible for its authorized users and their compliance with these Terms.

2. Accounts and authorized users

You must provide accurate account information, safeguard credentials, assign appropriate organization and location permissions, and promptly notify us of suspected unauthorized access. Accounts may not be shared in a way that defeats access controls. Organization owners and administrators control team membership and may access or manage workspace data.

3. The FixCost service

FixCost is a restaurant purchasing and cost intelligence service. Features may include invoice upload and extraction, invoice review, supplier and product analysis, price history, cost and savings analysis, reports, multi-location management, team access, and subscription administration. We may improve or modify features over time, subject to these Terms and applicable law.

4. Customer data and invoice uploads

As between the parties, the customer retains its rights in data it submits to FixCost. The customer is responsible for the legality, accuracy, quality, and source of that data and for obtaining all rights and permissions needed to upload and process it. You grant KOKO LABS LC and its processors a non-exclusive right to host, copy, transmit, extract, transform, analyze, display, and otherwise process customer data only as needed to provide, secure, support, and improve the service and meet legal obligations.

You must not upload data you are not authorized to use, malware, unrelated or prohibited content, or information whose processing through FixCost would violate law or third-party rights.

5. Automated extraction and cost intelligence

FixCost may use AI and other automated methods to read invoices, normalize products, identify possible duplicates, and generate analysis. You are responsible for reviewing extracted invoice fields and other important results before finalization or reliance. Automated extraction, product matching, cost comparisons, and reports may contain errors or omissions.

FixCost provides informational business intelligence, not accounting, tax, legal, investment, procurement, or other professional advice. Savings opportunities and estimated realized savings are estimates based on available data and assumptions. Actual prices, purchasing needs, supplier terms, implementation results, and savings may differ, and no savings result is guaranteed.

6. Subscription and location-based billing

FixCost costs $250 USD per active restaurant location per month. An organization maintains one customer subscription, and the subscription quantity reflects its active location count. By starting a paid subscription, you authorize recurring charges through Stripe for the applicable quantity, plus taxes where required, until cancellation.

Adding or activating a location may increase subscription quantity and charges. Deactivating an eligible location may reduce future quantity and charges according to the billing timing presented through FixCost or Stripe. You are responsible for keeping active-location information accurate and paying all charges and applicable taxes.

7. Cancellation and refunds

You may manage or cancel the subscription through the available billing controls. Unless the service states otherwise, cancellation takes effect at the end of the then-current paid billing period and access continues through that period. Fees already charged are non-refundable except when required by law or expressly agreed by KOKO LABS LC. Cancellation does not eliminate amounts already due.

8. Acceptable use

You may not misuse FixCost; interfere with service operation or security; attempt unauthorized access; bypass organization, location, subscription, or rate-limit controls; probe for vulnerabilities without written authorization; upload malicious code; scrape or reverse engineer the service except where law prohibits restriction; use FixCost to violate law or third-party rights; or use automated outputs to cause unlawful discrimination or harm.

9. Intellectual property

KOKO LABS LC and its licensors own FixCost, including its software, interfaces, branding, documentation, and service-generated technology, excluding customer data. These Terms provide a limited, non-exclusive, non-transferable, revocable right to use FixCost during an authorized subscription. No other rights are granted by implication.

10. Confidentiality

Each party may receive non-public business information from the other. The receiving party will use reasonable care to protect it and use it only for the relationship, except for information that is public without breach, already lawfully known, independently developed, or lawfully received from another source. Disclosure may be made when legally required after reasonable notice where permitted.

11. Third-party services

FixCost relies on third-party services, including Stripe for payment processing and providers supporting hosting, databases, authentication, storage, communications, and AI-assisted processing. Third-party services may have separate terms and privacy notices. KOKO LABS LC is not responsible for third-party services outside its reasonable control.

12. Availability and changes

We aim to provide a reliable service but do not guarantee uninterrupted or error-free availability. Maintenance, security events, internet failures, provider outages, or other circumstances may affect access. We may modify, suspend, or discontinue features and will provide notice when reasonably practicable if a material change significantly reduces core paid functionality.

13. Suspension and termination

We may suspend or terminate access for nonpayment, material breach, security risk, unlawful use, or harm to FixCost or others. Where appropriate, we may provide notice and an opportunity to cure. Upon termination, rights to use the service end, while provisions that by their nature should survive—including payment obligations, ownership, disclaimers, liability limits, and dispute terms—remain effective.

14. Disclaimers

To the maximum extent permitted by law, FixCost is provided “as is” and “as available.” KOKO LABS LC disclaims implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that automated results, financial data, cost intelligence, or savings estimates are complete, accurate, or suitable for a particular decision. Rights that cannot legally be disclaimed remain unaffected.

15. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or data, arising from these Terms or FixCost. KOKO LABS LC's aggregate liability for claims relating to the service will not exceed amounts paid by the customer for FixCost during the twelve months before the event giving rise to the claim. These limits do not apply where prohibited by law or to liabilities that cannot legally be limited.

16. Indemnification

To the extent permitted by law, the customer will defend and indemnify KOKO LABS LC and its personnel against third-party claims arising from customer data, the customer's unlawful or unauthorized use of FixCost, or the customer's material breach of these Terms. We will provide reasonable notice and cooperation and permit the customer to control the defense, subject to our right to participate and approve any settlement imposing obligations on us.

17. Governing law and disputes

These Terms are governed by applicable United States federal law and the applicable state law governing KOKO LABS LC and the transaction, without regard to conflict-of-law rules. Any dispute must be brought in a court with lawful jurisdiction over the parties and dispute. This provision should be reviewed with qualified counsel before commercial launch because the company's state of organization and preferred venue are not stated in the product configuration.

18. Changes to these Terms

We may update these Terms for legal, security, operational, or service changes. We will post the revised Terms with an updated date and provide additional notice of material changes when required. Continued use after the effective date constitutes acceptance where permitted by law.

19. General

These Terms and referenced policies are the agreement regarding FixCost unless the parties sign a separate agreement. If a provision is unenforceable, the remaining provisions remain effective. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; KOKO LABS LC may assign them in connection with a merger, acquisition, reorganization, or sale of assets.
